Welcome to www.buyabook.shop (the “Site”). By accessing or using this Site and the services provided here, including the purchase of goods, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (“T&C”) and our Privacy Policy (collectively, the “Agreement”). These Terms and Conditions govern your use of all webpages, services, and content made available on the Site, as well as your relationship with Bridgepoint Creatives, doing business as Buy A Book (“Buy A Book,” “we,” “us,” or “our”).

1. Revisions to this Agreement

1.1 Modifications
Buy A Book may update or revise these T&C and the Privacy Policy at any time without prior notice. By continuing to use the Site or its services after any changes become effective, you agree to accept the updated terms. Such modifications take effect ten (10) days after they are posted to the Site or communicated to you by email (or another written notice), whichever occurs first.

1.2 Right to Object
If you do not agree to any revised terms, you must notify Buy A Book in writing within ten (10) days of such update and immediately discontinue your use of the Site or any associated services.

2. Adult Use Only

This Site and its services are intended for individuals who are at least eighteen (18) years old and legally capable of entering binding contracts without the right of rescission. By using the Site, you represent and warrant that you meet these requirements.

3. Billing and Invoicing

3.1 Subscription Charges
Your registered debit or credit card will be charged according to the subscription plan you choose (monthly, semi-annually, or annually). To request a payment history, please email admin@buyabooks.com. Allow two (2) business days for a response.

3.2 Additional Charges and Fees
Buy A Book may assess fees, surcharges, or other amounts imposed by any governmental, regulatory, or financial institution. Payments may be made by bank wire, ACH transfer, electronic fund transfer, valid credit card, PayPal, or check. Buy A Book reserves the right to add or limit accepted payment methods at any time.

3.3 Non-Payment
If you fail to pay the applicable fees, Buy A Book may terminate your services and retain all fees collected prior to termination. You are solely responsible for ensuring timely payment of all charges. Any declined or dishonored payments may result in additional fees and service suspension or termination.

4. Single Account Policy

Each individual and each business entity is limited to a single Buy A Book Site account. Violations of this policy may lead to account suspension or termination.

5. Restricted Areas

Certain sections of the Site require authorization. Unauthorized access or attempts to access these areas are strictly prohibited and may be monitored, recorded, and disclosed to law enforcement for investigation or prosecution. Do not attempt to access restricted areas without proper authorization.

6. Account Security

6.1 Responsibility for Account
You are responsible for maintaining the confidentiality of your account login credentials and for all activities occurring under your account. Buy A Book is not liable for unauthorized use of your account or any associated payment methods.

6.2 Security Measures
If you suspect a breach of your account or password, change your credentials immediately and notify us at contact@buyabooks.com. We encourage you to use strong passwords, update them regularly, and avoid sharing them with third parties.

7. User Content

7.1 License Grant
By posting, uploading, or otherwise distributing any information or content (“User Content”) via the Site, you grant Buy A Book and its affiliates a worldwide, royalty-free, non-exclusive, perpetual license to use, copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate, and reformat your User Content in connection with Buy A Book’s online business. You represent and warrant that you own or are otherwise authorized to distribute such User Content.

7.2 Prohibited Content
You agree not to post or distribute any content that:

1. Is illegal, harmful, abusive, harassing, defamatory, vulgar, obscene, hateful, or otherwise objectionable;
2. Promotes illegal activity or violates any local, state, national, or international law;
3. Includes advertising, solicitations, or spam;
4. Contains personal, financial, or sensitive information of any individual without consent;
5. Impersonates a representative of Buy A Book or another party;
6. Violates intellectual property, proprietary, or other rights;
7. Repeats similar content across multiple posts or folders; or
8. Involves chain letters or other forms of mass solicitations.

8. Manuscript Submissions and Intellectual Property

8.1 No Infringement
By submitting any manuscript or related material, you represent and warrant that your submission is original and does not infringe any copyright, trademark, patent, trade secret, privacy right, or any other proprietary or intellectual property right of a third party.

8.2 Indemnification
In the event of any claim or legal action alleging that the manuscript infringes or violates third-party rights, you agree to fully defend, indemnify, and hold Buy A Book harmless from all associated fees, legal costs, and expenses.

8.3 Permissions and Clearances
You are responsible for securing and providing all necessary permissions and clearances for any third-party materials included in your submitted manuscript.

9. Client Portal Content

All intellectual property rights in the content (such as documents and images) you upload to the Client Portal remain solely with you.

10. Prohibited Uses / Code of Conduct

You may only use the Site and any associated services for lawful purposes. Prohibited activities include, but are not limited to:

1. Overburdening or damaging Site servers or networks;
2. Attempting unauthorized access to any accounts, systems, or networks;
3. Acquiring information or materials through unauthorized means;
4. Employing data mining, robots, or similar data extraction tools;
5. Misusing or misrepresenting Buy A Book’s name, services, trademarks, or trade dress;
6. Harassing, threatening, or infringing upon others’ rights;
7. Uploading or distributing inappropriate, obscene, illegal, or defamatory material;
8. Violating intellectual property rights;
9. Uploading malicious files or code;
10. Collecting personal data from other users;
11. Using the Site for chain letters, junk emails, or spamming;
12. Promoting or linking to competing services;
13. Sharing your login credentials with any unauthorized party;
14. Engaging in unprofessional, hateful, or offensive conduct, including profanity or disrespect toward Buy A Book, its employees, or contractors.

You agree to comply with all applicable laws and assist any governmental inquiry related to your Site usage.

11. Third-Party Use

If you use the Site alongside any third parties (e.g., employees, contractors, or representatives), you agree to ensure those third parties are also bound by these T&C and the Privacy Policy.

12. Violation of Terms and Conditions

We may terminate or suspend your access to the Site if, in our sole discretion, we believe you have violated these T&C, the Privacy Policy, or have otherwise acted in a way that harms Buy A Book’s interests or the interests of other Site users. We may also retain any fees paid until the date of termination.

13. Use of Name for Promotional Purposes

By using the Site or any of its services, you grant Buy A Book permission to use your name and/or your business name in promotional or advertising materials related to the Site or its services.

14. Your Jurisdiction and Authority

You warrant that you are of legal age and authorized to enter into this Agreement. You further warrant that if you provide personal or business information regarding third parties, you have all necessary authority to do so.

15. Maintenance and Downtime

Buy A Book may perform scheduled maintenance on the Site at its discretion. Maintenance is typically conducted during off-peak hours, and efforts will be made to notify users in advance of any extended outages. Buy A Book is not liable for unplanned outages resulting from circumstances beyond its control (e.g., utility failure, natural disasters, or labor disputes).

16. Limited License to Use the Site

You receive a non-exclusive, non-sublicensable, non-transferable right to access and use the Site as intended by Buy A Book. You acquire no ownership or proprietary interest in any content on the Site unless expressly stated in a written agreement with Buy A Book.

17. Use of Artificial Intelligence (AI)

17.1 Your Use of AI
You represent and warrant that any manuscripts, content, or materials submitted to Buy A Book are entirely your original work, produced without AI assistance. If you have used AI at any point in your book creation process (including editing), you must disclose this in writing. Clearly mark any segments containing AI-generated content for our review.

17.2 Buy A Book’s Use of AI
Buy A Book expressly reserves the right to incorporate AI technologies for idea generation, content production, or any other relevant purposes at its discretion. Any AI-generated content created by Buy A Book for you will be clearly labeled as such.

18. Representations and Warranties

18.1 Buy A Book Representations
Buy A Book warrants that it has the authority to enter into this Agreement and that any supplemental content it provides does not knowingly violate third-party intellectual property rights.

18.2 Author Representations
You represent and warrant that:

• You hold full rights, title, and authority to submit the manuscript and transfer the necessary rights to Buy A Book;
• The work is original or, where third-party content is used, you have secured all required permissions;
• Your manuscript does not contain unlawful, defamatory, or otherwise damaging material; and
• All factual assertions in your submission are accurate to the best of your knowledge and research.

19. Disclaimer of Warranties

BUY A BOOK PROVIDES THE SITE AND ITS SERVICES “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES—EXPRESS, IMPLIED, OR STATUTORY—INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SITE OR SERVICES WILL BE TIMELY, SECURE, ERROR-FREE, OR THAT THEY WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

20. Assumption of Risk

Use of the Site is entirely at your own risk. You are responsible for any damage to your devices, systems, or data resulting from your access to or use of the Site, including interactions with external links or content.

21. Third-Party Intellectual Property

Certain materials or products offered on the Site may incorporate proprietary rights owned by third parties. All such rights remain the property of their respective owners. Neither Buy A Book nor you acquire any ownership interest in third-party intellectual property by virtue of its appearance on the Site.

22. Customer Support

We provide email-based support for registered users. Contact contact@buyabooks.com with any inquiries, and we will strive to respond within two (2) business days.

23. Indemnification

You agree to defend, indemnify, and hold harmless Buy A Book and its affiliates, officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your breach of these T&C;
• Your submission of content to the Site;
• Your use or misuse of the Site or services provided by Buy A Book;
• Any alleged violation of rights or laws caused by your actions.

You further agree that Buy A Book may take exclusive control of any defense related to such claims, and you will cooperate fully with Buy A Book in any related proceedings.

24. Automated Payments for Delinquent Accounts

If you have provided payment details and your account is delinquent, Buy A Book reserves the right to charge any outstanding amounts to your designated payment method(s), after providing you with notice and a reasonable opportunity to cure.

25. Right to Deny Service

Buy A Book may refuse or discontinue service to any individual or entity at its sole discretion and without liability.

26. Continuation of Obligations

All provisions of this Agreement that by their nature should survive termination, including intellectual property rights, indemnification, warranties, and limitations of liability, shall remain in effect even if you stop using the Site.

27. Reporting Misconduct

If you believe any content on the Site is unlawful or violates these Terms and Conditions, please provide a detailed written notice to Buy A Book at the address or email listed below. We may investigate but are under no obligation to do so, and we reserve the right to remove any content or account that we deem inappropriate or illegal.

28. Record-Keeping Requirements

You must comply with all record retention requirements imposed by law or regulation. Buy A Book is not liable for your failure to maintain required records.

29. Termination of Services

We reserve the right to suspend or terminate your access to the Site or services at any time, without notice, if we determine (in our sole discretion) that you have violated these T&C or otherwise engaged in conduct harmful to Buy A Book.

30. Governing Law; Jurisdiction and Venue

All Site-related transactions are deemed to take place in the State of Michigan, USA. This Agreement is governed by the laws of Michigan, without regard to conflict-of-laws principles. Any dispute related to this Agreement or the services provided by Buy A Book shall be resolved in South Fields, Michigan.

31. Arbitration and Litigation

Except for requests for injunctive relief, any claim or dispute arising out of or relating to this Agreement must be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, unless the Parties agree otherwise. The arbitration will take place in South Fields, Michigan. The prevailing party in any arbitration is entitled to recover reasonable attorneys’ fees and costs. Injunctive relief may be sought in the courts located in South Fields, Michigan.

32. Exclusive Remedy and Limitation of Liability

Your exclusive remedy for any claim related to this Agreement, the Site, or Buy A Book’s services is limited to the amount you paid for the services in the six (6) months preceding your claim, or five hundred dollars ($500), whichever is less. BUY A BOOK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

33. One-Year Limitation on Actions

Any claim you have related to the Site or services provided by Buy A Book must be filed within one (1) year from the time the cause of action arises. Otherwise, it is permanently barred.

34. Waiver of Jury Trial and Class Action

Each party waives any right to a jury trial in any action under this Agreement. Furthermore, all parties waive any right to bring or participate in a class action, agreeing that any dispute will be resolved on an individual basis.

35. Opportunity to Cure

You agree to provide Buy A Book with written notice detailing any alleged deficiency in our services and allow at least thirty (30) days for us to address it before initiating any formal legal proceedings. Failure to comply with this requirement constitutes a material breach, entitling Buy A Book to recover related legal fees and expenses.

36. No Third-Party Beneficiaries

Nothing in these T&C is intended to confer rights or remedies upon any third party.

37. Assignment

You may not assign or transfer this Agreement or any rights under it without Buy A Book’s prior written consent. Any attempt to do so is void at Buy A Book’s discretion.

38. Binding on Successors

These T&C shall be binding on and inure to the benefit of the parties and their respective successors, assigns, heirs, executors, and administrators, except as otherwise stated.

39. No Waiver

Buy A Book’s failure to enforce any provision of these T&C does not constitute a waiver of its right to do so at any time in the future.

40. Severability

If any provision of this Agreement is deemed unlawful, void, or unenforceable, the remaining provisions remain valid and enforceable. Such provision may be modified as narrowly as necessary to make it lawful and enforceable.

41. Entire Agreement

These T&C and our Privacy Policy represent the complete and exclusive statement of the agreement between you and Buy A Book regarding the subject matter herein, superseding all prior or contemporaneous agreements.

42. Attorneys’ Fees

If Buy A Book prevails in any legal action related to this Agreement, it may recover its reasonable attorneys’ fees and costs, in addition to any other relief awarded by the court or arbitrator.

43. Headings

Section headings in these T&C are for convenience only and do not affect the meaning or interpretation of any provision.

44. California Residents

In accordance with Cal. Civ. Code §1789.3, California users may submit complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 400 R Street, Sacramento, CA 95814, or by calling (800) 952-5210.
